Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. Services Provided NovoYug Digital provides various digital marketing services, including but not limited to:

• Search Engine Optimization (SEO)
• Website Design and Development
• Content Marketing (creation, strategy)
• Social Media Marketing and Management
• Pay-Per-Click (PPC) Advertising Management
• Site Logo,E-commerce,ORM

The scope of work for each project or service will be detailed in a separate Statement of Work (SOW) or service agreement, which will form an integral part of these Terms.

2. Client Obligations :As a client of NovoYug Digital, you agree to:

• Provide accurate, complete, and timely information and materials as required for the provision of services.
• Ensure that any materials or content provided by you do not infringe upon the intellectual property rights of any third party.
• Appoint a primary contact person for effective communication regarding the project.
• Review and approve deliverables within agreed-upon timeframes.
• Make timely payments as per the agreed-upon payment schedule.

3. Payment Terms:

• Fees: Fees for services will be outlined in the SOW or service agreement.
• Invoicing: Invoices will be issued [e.g., monthly, upon project milestones, in advance].
• Payment Due Date: Payments are due within 3 days of the invoice date.
• Late Payments: NovoYug Digital reserves the right to charge interest on overdue payments at a rate of 2% per month or the maximum permissible by law. Services may be suspended or terminated for consistent late payments.
• Refund Policy:“All payments are 50% refundable once services have commenced,” or “Refunds may be considered on a case-by-case basis at the sole discretion of NovoYug Digital, for services not yet rendered.”If you are not satisfied with our services, a refund will be made 50% of your project plan as guaranteed!

4. Intellectual Property

• Client Content: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize NovoYug Digital to use all intellectual property in the content you provide to us.
• NovoYug Digital Content/Deliverables: Upon full payment for services, the intellectual property rights in the final deliverables specifically created for you (e.g., website code, graphic designs, unique content) shall generally transfer to you, unless otherwise specified in the SOW.
• Tools & Techniques: NovoYug Digital retains all intellectual property rights in its proprietary tools, methodologies, templates, and general know-how used in the provision of services.

5. Confidentiality Both parties agree to keep confidential all non-public information received from the other party in the course of providing or receiving services. This obligation survives the termination of these Terms.

6. Limitation of Liability

• NovoYug Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
• In no event shall NovoYug Digital’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Service during the [e.g., three (3)] months immediately preceding the date of the claim.

7. Termination

• We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
• Either party may terminate a specific service agreement by providing 7 days’ written notice to the other party, provided all outstanding payments are settled.
• Upon termination, your right to use the Service will immediately cease.

8. Links To Other Websites Our Service may contain links to third-party websites or services that are not owned or controlled by NovoYug Digital. NovoYug Digital has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that NovoYug Digital shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Indemnification You agree to defend, indemnify and hold harmless NovoYug Digital and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Service.

10. Governing Law and Jurisdiction These Terms shall be governed and construed in accordance with the laws of India, specifically the laws applicable in Bengaluru, Karnataka, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

11. Changes to These Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
